The rules and guidelines governing the use of Smart Folder
By downloading, installing, or using Smart Folder ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.
Smart Folder ("we", "our", or "us") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Software following any changes constitutes your acceptance of the revised Terms.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for your personal or internal business purposes in accordance with its documentation and these Terms.

We offer various subscription plans based on file size requirements. The features and limitations of each plan are described on our pricing page.
For paid subscriptions, you agree to pay all fees associated with your selected plan. All payments are non-refundable except as expressly stated in these Terms or as required by applicable law.
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew unless you cancel it before the renewal date.
You may cancel your subscription at any time. Upon cancellation, you will continue to have access to paid features until the end of your current billing period, after which your account will revert to the free version.
You retain all rights to any files or content you process using the Software ("User Content"). We do not claim ownership of your User Content.

The Software, including all intellectual property rights therein, is owned by Smart Folder. These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features.
If you provide feedback, ideas, or suggestions regarding the Software ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback into our products and services.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SMART FOLDER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US.
You agree to indemnify, defend, and hold harmless Smart Folder, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Software will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
